1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the websites, landing pages, online forms, bookings, contests, and communications operated by 2767375 Ontario Ltd., operating as The Lab Movement & Sports Medicine ("The Lab," "we," "us," or "our") (collectively, the "Site").

By accessing or using the Site, requesting a booking, entering a contest, or submitting a form, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Who we are

The Site is operated by 2767375 Ontario Ltd., operating as The Lab Movement & Sports Medicine, a company incorporated in Ontario, Canada, with its place of business at #49-4181 Sladeview Crescent, Mississauga, ON L5L 5R2. You can reach us using the details in Section 16.

3. Eligibility

To use the Site you must be able to form a binding contract under applicable law. To enter any contest or promotion offered through the Site, you must also meet the eligibility requirements set out in that contest's Official Rules, including being a resident of an eligible region and at least 18 years of age. You are responsible for ensuring your use of the Site is lawful where you live.

4. Acceptable use

When you use the Site, you agree not to:

• Use the Site for any unlawful, fraudulent, or harmful purpose.
• Submit false, misleading, or another person's information, or create multiple or fake entries to gain an advantage in any contest or promotion.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Site, its servers, or connected systems.
• Use bots, scrapers, or automated means to access or collect data from the Site.
• Upload or transmit viruses, malware, or other harmful code.
• Infringe the intellectual property or other rights of The Lab or any third party.
• Harass, abuse, or harm another person, or post unlawful, defamatory, or offensive content.

We may suspend or terminate your access to the Site, and disqualify contest or promotion entries, if we believe you have breached these Terms.

5. Bookings and services

The Site may let you request appointments or enquire about our services. Booking requests are subject to confirmation and to the clinic's policies, including any cancellation, rescheduling, and payment policies in effect at the time. Submitting a request through the Site does not guarantee an appointment until we confirm it.

Online appointment booking is provided through Jane, a third-party platform operated by Jane Software Inc. When you book an appointment you leave our Site, and your use of the Jane platform is governed by Jane's own terms of service (jane.app/terms) and privacy policy (jane.app/privacy).

6. Contests and promotions

Contests and promotions offered through the Site are governed by their own Official Rules, which are published separately and form part of these Terms for anyone who enters. Where the Official Rules and these Terms conflict, the Official Rules govern for that contest.

Entry methods, eligibility, prize details, any no-purchase-necessary entry alternative, deadlines, and winner selection are described in the Official Rules. We may modify, suspend, or cancel a contest or promotion where reasonably necessary or required by law. Prizes and offers are non-transferable and have no cash value unless the Official Rules state otherwise.

7. No medical advice

The Lab is a sports medicine and movement clinic. Content on the Site is provided for general information and marketing purposes only. It is not medical advice, and using the Site does not create a practitioner-patient relationship. Do not rely on Site content to diagnose or treat any condition. For health concerns, consult a qualified healthcare professional.

8. Intellectual property

The Site and its content, including text, graphics, logos, brand names, images, and design, are owned by or licensed to The Lab and its partners and are protected by intellectual property laws. The Lab name and logo, and the names and logos of any partners, are the property of their respective owners.

You may view and use the Site for your own personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from the Site or its content without our prior written permission.

9. Information you submit

If you submit information through the Site, including booking requests, contest entries, referral details, or messages, you confirm that it is accurate and that you have the right to provide it. You grant The Lab a non-exclusive, royalty-free licence to use that information to operate the Site, provide our services, administer contests and promotions, and communicate with you, consistent with our Privacy Policy. We may remove or refuse any submission at our discretion.

10. Electronic communications

By providing your contact details and opting in, you consent to receive electronic communications from us, including email and SMS, in accordance with our Privacy Policy and Canada's Anti-Spam Legislation. You can unsubscribe from marketing email at any time using the link in any message, and stop marketing texts by replying STOP.

Transactional and service messages, such as appointment reminders and confirmations, billing or account notices, responses to your enquiries, and contest reminders related to an entry you have made, may continue as part of providing our services.

11. Third-party links and services

The Site may link to or rely on third-party websites and services, including booking tools, payment processors, charity sites, and partner pages. We do not control and are not responsible for the content, practices, or availability of those third parties. Your use of them is at your own risk and subject to their terms and policies.

12. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, The Lab disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site is complete or current.

13. Limitation of liability

To the fullest extent permitted by law, The Lab and its directors, officers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising from or related to your use of or inability to use the Site, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of The Lab arising from or related to the Site or these Terms will not exceed one hundred Canadian dollars (CAD $100). Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless The Lab and its directors, officers, employees, contractors, and partners from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising from your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.

15. Changes, governing law, and general terms

• Changes. We may modify, suspend, or discontinue all or part of the Site at any time without notice, and may update these Terms from time to time. The current version is always posted here with its effective date. Continued use of the Site after an update means you accept the revised Terms.
• Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. The courts located in Ontario, Canada have exclusive jurisdiction over any dispute, subject to any non-waivable rights you have under consumer protection law.
• Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign these Terms. We may assign them in connection with a reorganization or sale of our business.
• Entire agreement. These Terms, the Privacy Policy, and any applicable contest Official Rules are the entire agreement between you and The Lab regarding the Site.
